SALE AND SUPPLY OF GOODS
TERMS AND CONDITIONS
GSB Warehouse Services Limited is a private company limited by shares, registered in England and Wales under company registration number 14509683, having its registered office at:

These are the only Conditions upon which GSB Warehouse Services Limited (“GSB Warehouse Services”) is prepared to deal with the Customer. These Conditions supersede any previous conditions of GSB Warehouse Services and apply to the exclusion of all other terms and conditions.
1. DEFINITIONS AND INTERPRETATION
Business Day – Any day other than Saturday, Sunday or public holiday when banks in London are open for business.
Conditions – These terms and conditions as amended from time to time.
Contract – Any contract between GSB Warehouse Services and the Customer for the purchase and sale of Goods incorporating these Conditions.
Customer – The person, firm or company placing the Order with GSB Warehouse Services.
Goods – Warehouse storage systems, shelving, racking, accessories and small parts supplied by GSB Warehouse Services.
Order – An order placed by the Customer confirming the quantity and items of Goods to be delivered.
Purchase Price – The price payable by the Customer for the Goods.
2. DESCRIPTION
The quantity and description of the Goods will be as set out in GSB Warehouse Services’ quotation or acknowledgement of Order.
GSB Warehouse Services reserves the right to vary the Goods supplied provided they substantially perform the same purpose.
All descriptions, drawings and advertising materials are provided only to give an approximate idea of the Goods and do not form part of the Contract.
The Customer acknowledges that shelving and racking systems may impose loads on floors and building structures and the Customer must ensure the installation site is suitable.
3. DELIVERY AND COLLECTION
Delivery will normally take place during working hours at the Customer’s premises unless otherwise agreed.

Delivery dates are estimates only and time shall not be of the essence.
GSB Warehouse Services may deliver Goods in instalments and each instalment shall constitute a separate contract.
4. ACKNOWLEDGEMENT OF EXAMINATION
Upon delivery or collection the Customer must verify that the Goods correspond with the Order.
Acceptance of the Goods shall be deemed evidence that the Customer has inspected the Goods and is satisfied with their condition.
5. RISK AND TITLE
Risk in the Goods passes to the Customer upon delivery or collection.
Ownership of the Goods shall remain with GSB Warehouse Services until full payment has been received in cleared funds.
Until ownership passes, the Customer must store the Goods separately, maintain them in good condition and ensure they remain identifiable as the property of GSB Warehouse Services.
6. INSTALLATION
Where installation services are requested, the Customer must ensure the site is suitable, unobstructed and capable of supporting the equipment.
Additional charges may apply where installation cannot proceed due to site conditions.
7. PURCHASE PRICE
Prices are exclusive of VAT and delivery unless otherwise stated.
GSB Warehouse Services reserves the right to amend prices with reasonable notice.
8. PAYMENT
Invoices are payable within 30 days unless otherwise agreed.
Late payments may incur interest at 8% above the Barclays Bank base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
9. DEFECTS
GSB Warehouse Services may repair, replace or refund defective new Goods reported within 24 hours of delivery where defects are visible or within 28 days if discovered during normal use.
Second-hand Goods are supplied strictly on an “as seen” basis.
10. WARRANTIES AND LIMITATION OF LIABILITY
Goods manufactured by third parties carry only the manufacturer’s warranty where applicable.
GSB Warehouse Services’ liability shall not exceed the Purchase Price of the Goods and shall exclude indirect or consequential losses including loss of profit or business.
11. TERMINATION
GSB Warehouse Services may terminate the Contract if the Customer becomes insolvent, ceases trading or breaches the Contract.
Upon termination all outstanding invoices become immediately payable.
12. ASSIGNMENT
GSB Warehouse Services may assign the Contract.
The Customer may not assign the Contract without prior written consent.
13. FORCE MAJEURE
GSB Warehouse Services shall not be liable for delays or failure caused by events beyond its reasonable control including strikes, natural disasters, war, government actions or supply shortages.
14. COMMUNICATIONS
All communications relating to the Contract must be in writing and sent to:

15. GENERAL
If any provision of these Terms is held invalid, the remainder shall continue in full force.
These Terms shall be governed by and construed in accordance with the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
